Terms of Service

Welcome to CERTIFY-Pro™, a product of AI Cloud Partners LLC ("Company," "we," "us," or "our"). By accessing or using our website at certify-pro.com and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Service Description

CERTIFY-Pro™ provides Microsoft certification practice questions, study plans, and related educational content delivered through a web-based subscription platform. The Service is designed to help individuals prepare for Microsoft certification exams. CERTIFY-Pro™ is not affiliated with, endorsed by, or sponsored by Microsoft Corporation.

2. Account Registration

To access the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

3. Subscription & Billing

3.1 Plans Offered

CERTIFY-Pro™ is offered on the following plans. The exact price and billing terms displayed at checkout govern your purchase. All fees are in U.S. dollars and are processed through Stripe.

• Monthly Plan: $29 USD per month, billed on a recurring monthly basis until you cancel. This is the only plan that automatically renews.
• Annual Plan: $129 USD per year, charged once at purchase, providing twelve (12) months of access to the Service. The Annual Plan does NOT automatically renew. When the 12-month term ends, your access to the Service ends. To continue using the Service, you may purchase another Annual Plan or subscribe to the Monthly Plan. Annual Plan purchasers save approximately $219 compared with twelve consecutive months of the Monthly Plan.
• Founding Member (Annual): $129 USD charged once at purchase, providing twelve (12) months of access to the Service. The Founding Member Plan does NOT automatically renew. When the 12-month term ends, your access to the Service ends. Founding Member status is offered as a limited promotional benefit to early customers and may not be available for repurchase at the same price after your term ends; if you wish to continue, you may purchase the then-current Annual Plan or subscribe to the Monthly Plan.

3.2 Monthly Plan Automatic Renewal Disclosure

Applicable to the Monthly Plan only. By purchasing the Monthly Plan, you agree that your subscription will automatically renew at the end of each monthly billing period at the then-current Monthly Plan price, and that we are authorized to charge your payment method on file for each monthly renewal until you cancel. You may cancel at any time through your account settings as described in Section 3.3. This disclosure is provided in compliance with applicable automatic-renewal laws including the California Automatic Renewal Law (Cal. Bus. & Prof. Code §§ 17600–17606), the New York Automatic Renewal Law (N.Y. Gen. Bus. Law § 527-a), the Oregon Automatic Renewal Law (Or. Rev. Stat. § 646A.295), and similar statutes in other states. The Annual Plan and Founding Member Plan do NOT automatically renew — they are one-time purchases providing twelve (12) months of access.

3.3 Cancellation

• Monthly Plan: You may cancel at any time through your account settings. Cancellation takes effect at the end of your current monthly billing period — you retain access until then. Monthly fees already paid are non-refundable.
• Annual Plan and Founding Member Plan: Because these are one-time purchases (not auto-renewing subscriptions), there is no recurring charge to cancel. Your access ends automatically at the end of the 12-month term. If you wish to discontinue using the Service before your term ends, you may simply stop using it — no action is required and no further charges will occur. The Annual Plan and Founding Member Plan are non-refundable except as required by applicable law.
• Cancellation Method (Monthly Plan): Monthly Plan cancellations may be initiated online through your account settings or by emailing support@aicloudpartners.com. We do not require phone calls or letters to cancel.

3.4 Price Changes

We may adjust pricing with at least thirty (30) days' advance notice sent to your account email address. For the Monthly Plan, any price change applies to billing periods beginning after the notice period; continued use of the Service after the change takes effect constitutes acceptance of the new pricing, and you may cancel before the effective date if you do not accept the new pricing. The Annual Plan and Founding Member Plan are not affected by price changes during your 12-month term — the price you paid at purchase governs your access for the full term.

3.5 Free Trials

If a free trial is offered, the trial may convert to a paid subscription at the end of the trial period. We will display the post-trial price and billing terms clearly at the point of trial signup, and you will have the opportunity to cancel before any charge occurs.

3.6 Taxes

Fees are exclusive of any applicable sales taxes, value-added taxes, or other governmental fees, which will be added at checkout where required by law.

4. Acceptable Use

You agree not to:

• Share your account credentials with others or allow multiple individuals to use a single account
• Copy, reproduce, distribute, or publicly display any content from the Service, including practice questions, explanations, or study materials
• Use automated tools, bots, scrapers, or other programmatic means to access, extract, or download content from the Service
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Use the Service for any unlawful purpose or in violation of any applicable laws
• Resell, sublicense, or commercially exploit any content or access to the Service

5. Intellectual Property

All content on the Service — including practice questions, explanations, study plans, exam tips, user interface design, branding, and software — is the property of AI Cloud Partners LLC and is protected by copyright, trademark, and other intellectual property laws. CERTIFY-Pro™ and Certify-Pro™ are trademarks of AI Cloud Partners LLC. Microsoft certification names and exam codes are trademarks of Microsoft Corporation and are used for identification purposes only.

6. Disclaimer

CERTIFY-Pro™ is an independent study resource. We do not guarantee that using the Service will result in passing any Microsoft certification exam. Practice questions are designed to help you prepare but may not reflect the exact content, format, or difficulty of actual certification exams. Exam content and requirements are determined solely by Microsoft and are subject to change without notice.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AI CLOUD PARTNERS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

9. Termination

We reserve the right to suspend or terminate your account at any time if you violate these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service, other users, or our business interests. Upon termination, your right to access the Service ceases immediately.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on the Service with a new "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Maricopa County, Arizona.
